Senior Legal & Compliance Manager

Role Purpose:

The Senior Legal & Compliance Manager is responsible for ensuring high level of compliance and operational risk control in accordance with the regulatory standards and policies. As a senior member of the legal team you will be a trusted point of contact for the team, acting as a guide and mentor whilst working closely with the Head of Legal and Compliance and the General Counsel, to support the overall strategy and objectives of the department. You will also lead and support key projects and initiatives and engage with and influence key internal and external stakeholders providing expert advice to support the strategic agenda.


Accountabilities include, but not limited to:

 

General

  • assisting in and advising on assigned contractual matters, coordination of disputes, intellectual property protection and advice on other legal affairs;
  • assigned advice on compliance in targeted markets and with selected industry standards;
  • assigned advice on risk management including regulatory, security, laundering, fraud and problem gambling risk.

The LCM will prioritise the discharge of his duties in view of:

  • Directions from the HL&C;
  • Importance to the business;
  • (Potential) consequences of non-compliance;
  • Equal importance of compliance and business;
  • Common prioritisation principles such as urgency and implementation time path, effectiveness using the 80/20 rule and reparability of consequences of delays.

Risk

Regulatory risk

  • Monitor legal and regulatory developments in relevant markets where the Company is not licensed, and identify and assess the risks of operating in such markets; and
  • Advise on whether and how to operate in relevant markets where the Company is not licensed so as to ensure mitigation of potential risk and/or compliance with local laws and regulations.

Legal and compliance risk

  • Identify, assess and monitor legal risks and advise on identifying, assessing and monitoring the risks involved in security, laundering, fraud and problem gambling;
  • Advise on the assessment and evaluation of the effectiveness of measures mitigating risks;
  • Advise on the investigation and proposal of further measures to mitigate risks;
  • Report on legal risks and mitigating measures and advise on the reporting of other risks and mitigating matters;
  • Propose ways to involve the Board of Directors and senior management in risk management decision making; and
  • Advise on the documentation of compliance risk management activities.

LegalGeneral

  • Proactively advise on all legal matters;
  • Assist in investor relationships and in the sale or purchase of shares or assets to or from other companies and in initial public offerings;
  • Advise on and assist in public relations with regard to legal risks and issues; and
  • Follow and anticipate relevant legal and other developments.

Intellectual Property

  • Advise on the use of intellectual property rights to protect branding, know-how and business information;
  • Propose and execute a trademark and domain registration strategy;
  • Apply for and maintain registration of domains and intellectual property rights, including patents, trademarks and designs;
  • Develop and maintain processes for reserving copyright and maintaining confidentiality;
  • Promote reserving copyright and maintaining confidentiality throughout the Company through training and information; and
  • Avoid infringement upon third party property rights and act upon infringement by third parties.

Suppliers

  • Ensure all supplier relationships are subject to acceptable terms and conditions, and are subject to written contracts where conducive and possible;
  • Assist with legal advice in the pursuit of the Company’s commercial, legal and compliance interests in the terms and conditions of the affiliate programme;
  • Assist in the legal termination of supplier relationships; and
  • Develop and maintain a contract management system and process.

Customers

  • Draft and maintain consumer terms and conditions reflecting the Company’s commercial, legal and compliance interests;
  • Advise on and assist in the provision of information to consumers;
  • Advise on and assist in consumer complaints.

Disputes The LCM guides and assists the company in assigned regulatory compliance aspects so as to ensure that the company’s business duly pursues compliance with relevant laws and regulations in balance with its business interests. Provide counsel to the HL&C and middle management:

  • Proactively advise on all compliance matters;
  • Promoting and assisting in the development of compliant practices across the business by: keeping abreast of regulatory developments; systematically creating, updating, implementing, monitoring and enforcing policies and procedures while promoting compliant processes documented in handbooks, guidelines and manuals; providing guidance on and support in training; providing effective advice and support across the business; managing regulatory reporting processes and liaising with authorities; and providing guidance and support in internal audits.
  • Assist in public relations with regard to compliance risks and issues; and
  • Follow and anticipate relevant regulatory compliance developments.

Corporate governance

  • Assist the Company Secretary in ensuring that the Company is in good standing;
  • Promote proper and documented corporate governance;
  • Assist the Company Secretary in drafting, obtaining approval of, distributing and keeping resolutions and minutes of meetings of the board of directors and meetings of shareholders;
  • Assist the Company Secretary in maintaining complete and accurate corporate records in accordance with law;
  • Assist the Company Secretary in ensuring that reports, notifications and other filings are done periodically and upon changes in the Company as and when required by law; and
  • Advise on reporting on compliance including particular shortcomings.

Tax

  • Provide advice to promote informed decisions with regard to taxes in relevant markets; and
  • Obtain and distribute pertinent information on fiscal developments in relevant markets.

Consumer rights

  • Alert the Company when its activities may harm or offend the general public;
  • Assist with advice in the pursuit of fairness as required by law of products and related consumer terms and conditions;
  • Assist with advice in the pursuit of transparency as required by law to enable informed consumer decisions;
  • Advise on and assist in the development and maintenance of consumer complaint processes as required by law and as conducive for reducing disputes;
  • Create, distribute and maintain policies, procedures and guidelines to respect consumer rights;
  • Advise on training on policies, procedures and guidelines to respect consumer rights; and
  • Advise on reporting on compliance including particular shortcomings.

Privacy

  • Assist in the development and maintenance of processes protecting the privacy of employees, suppliers and customers and enabling these to pursue their rights as data subjects;
  • Advise on and deal with privacy breaches;
  • Create, distribute and maintain policies, procedures and guidelines to respect privacy;
  • Provide and/or arrange for training on policies, procedures and guidelines to respect privacy; and
  • Report on compliance including in particular shortcomings.

Anti-money laundering (AML)

  • Advise on and assist the Head of Regulatory Risk in the development and maintenance of an overall business risk assessment framework with regard to AML, control of terrorism financing (CFT), sanction lists (SL) and other pertinent risks;
  • Advise on and assist the Head of Regulatory Risk in the development and maintenance of supplier risk assessment within the overall business risk assessment framework;
  • Advise on and assist in the obtaining of due diligence information from suppliers in accordance with supplier risk assessments;
  • Assist in the provision of due diligence information as reasonably requested by suppliers;
  • Assist in the development and maintenance of customer risk assessments within the overall business risk assessment framework;
  • Assist in the development and maintenance of processes to perform due diligence on customers and their transactions and to take appropriate and proportionate steps to follow-up;
  • Assist the MLRO in performing his or her duties;
  • Advise on complaints and regulatory queries regarding due diligence on customers and suppliers and their transactions;
  • Advise on and assist in the development and maintenance of AML, CFT and SL policies, procedures and guidelines;
  • Advise on training on AML, CFT and SL policies, procedures and guidelines; and
  • Advise on reporting on compliance including particular shortcomings.

Responsible Gambling (RG)

  • Assist in the development and maintenance of customer risk assessments;
  • Assist in the development and maintenance of processes to monitor customers and their transactions and detect problem gambling and to take appropriate and proportionate steps to follow-up;
  • Advise on complaints and regulatory queries regarding problem gambling;
  • Advise on and assist in the development and maintenance of RG policies, procedures and guidelines;
  • Advise on training on RG policies, procedures and guidelines; and
  • Advise on reporting on compliance including particular shortcomings.

Licensing and Certification

  • Prepare and submit applications for licences and for confirmation of compliance with industry standards as directed;
  • Provide guidance on, and assist with the implementation of, compliance with the requirements of competent regulatory authorities and industry standards;
  • Prepare and submit required notifications, reports and other filings required by competent regulatory authorities;
  • Advise on and assist in internal compliance audits and external audits;
  • Advise on regulatory queries;
  • Advise on complaints concerning compliance with licence conditions and requirements;
  • Advise on and assist in the development and maintenance of policies, procedures and guidelines for compliance with licence conditions and requirements and industry standards;
  • Advise on and assist in training on compliance policies, procedures and guidelines; and
  • Advise on reporting on compliance including in particular shortcomings.


  • Obtain and maintain licences and industry standard certifications desired by the Company and pursue compliance with licence conditions and requirements and industry standards:
  • Provide guidance on measures to be taken to curb problem gambling and reduce exposure to problem gambling risks in compliance with regulatory requirements:
  • Provide guidance on avoiding involvement in money laundering, terrorism financing and sanctioned funds in compliance with regulatory requirements:
  • Provide guidance on the privacy of employees, suppliers and customers and on the protection of personal data:
  • Provide guidance on respecting consumer rights:

  • Provide legal advice and assistance in the management of disputes with employees, suppliers, customers, regulators and other third parties.

Knowledge, Experience & Skills


  • University degree in Law;
  • Minimum 2 years’ experience as a Legal Counsel or similar position in an international law firm, gaming, corporate or financial services company;
  • Ability to be self-motivated and take ownership in a dynamic environment with a positive, ‘can-do’ mindset;
  • Excellent organisational skills and take pride in being quality oriented with a keen eye for detail and coming up with creative solutions;
